Technology Transfers & Licensing

We have extensive experience with licensing and technology transfer arrangements. This experience includes the spin-out of technology from universities and pharmaceuticals, and both domestic and foreign licensing arrangements. On behalf of our life sciences clients we have negotiated licenses with major research institutions. Some of our attorneys' recent transactions include:
  • Eastern Virginia Medical School - spin-out of technology to a virtual pharmaceutical company focusing on ophthalmology products
  • UNC- Chapel Hill - spin-out of three dimensional laparoscopic device technology to a newly formed company (ongoing)
  • Duke University - spin-out of technology to newly formed oncology company
  • License Agreements with a large Japanese pharmaceutical company for ophthalmic products
  • License Agreement with a large Irish pharmaceutical company for genetic testing diagnostic technology
  • Representation of a U.S. biotech in its negotiation of a license agreement with a Dutch company for the licensing of immunohistochemical and immunocytochemical assays
  • License Agreement with a German genomics company for gene splicing technology
  • License Agreement with a UK firm specializing in delivery systems for biopharmaceutical companies and time release site specific drug delivery
  • License Agreement with University of Oregon for certain monoclonal antibodies
  • License Agreement with University of Eastern Virginia Medical School for ophthalmology drug products
  • Research license between a Scotish biotechnology company and a local research institution
  • Option Agreement with the University of South Carolina
  • Option Agreement with the University of Michigan
  • Material Transfer and Licensing Agreement between a German company and a U.S. entity for the transfer of a Cell Line for the production of GGF2
  • Material Transfer and Co-Development Agreement with a large Japanese company
